1. Acceptance of Terms

By accessing or using GridHop ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

GridHop Inc. ("Company," "we," "our," or "us") reserves the right to update, change, or modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

GridHop is an AI-powered spreadsheet analysis platform that enables users to:

• Upload and analyze Excel and CSV files
• Connect and analyze Google Sheets
• Ask natural language questions about data
• Generate charts, insights, and visualizations
• Perform data transformations and calculations

The Service uses third-party AI providers (OpenAI, Anthropic, xAI) to process and analyze your data.

3. Account Registration

Eligibility

You must be at least 18 years old to use GridHop. By creating an account, you represent that you are of legal age to form a binding contract.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.

4. Subscription and Payment

Free Trial

New users receive 8 free AI queries to try the Service. The free trial does not require a credit card.

Pro Subscription

The Pro subscription costs $25 per month and includes:

• Unlimited AI queries
• All chart types and visualizations
• Advanced filtering and formulas
• Priority support
• Export capabilities

Billing

Subscriptions are billed monthly in advance. Payment is processed securely through Stripe. You authorize us to charge your payment method on a recurring basis until you cancel.

Refunds

We offer a 7-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 7 days of initial purchase. Subsequent renewals are non-refundable.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until then.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Reverse engineer or copy any part of the Service
• Use the Service for spam, phishing, or fraud
• Process data containing personal health information (PHI) or other regulated data without proper authorization
• Share your account credentials with others
• Use automated tools to scrape or extract data from the Service
• Overload or interfere with the Service's infrastructure

Violations may result in immediate account suspension or termination.

6. Data Ownership and License

Your Data

You retain all rights, title, and ownership of your spreadsheet data and files. By uploading data to GridHop, you grant us a limited license to:

• Process your data to provide the Service
• Send your data to AI providers for analysis
• Store your data securely on our servers
• Create derivative works (charts, insights) as requested

This license terminates when you delete files or close your account.

Our Intellectual Property

The Service, including its design, code, features, and branding, is owned by GridHop Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7. AI-Generated Content

The Service uses AI to generate insights, analysis, and visualizations. You acknowledge that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for verifying the accuracy of AI outputs
• We do not guarantee the correctness of any analysis or insights
• AI responses should not be considered professional advice
• You should not rely solely on AI outputs for critical business decisions

8. Privacy and Data Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding the accuracy or reliability of results
• Warranties that the Service will meet your requirements

We do not guarantee that the Service will be secure, error-free, or always available.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDHOP INC. SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from unauthorized access to your data
• Damages caused by errors in AI-generated content
• Any damages exceeding the amount you paid us in the last 12 months

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless GridHop Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your data or content uploaded to the Service

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in San Francisco, California, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including but not limited to:

• Violation of these Terms
• Requests by law enforcement or government agencies
• Unexpected technical or security issues
• Extended periods of inactivity
• Non-payment of fees

Upon termination, your right to use the Service will cease immediately. We may delete your data after a reasonable period.

14. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and GridHop Inc. regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
